Job Description

U.S. Bancorp Impact Finance (USBIF) is currently seeking a candidate to join our growing team of tax credit syndication professionals as a Project Manager (PM). The PM’s responsibilities include leading the negotiating, underwriting, structuring, and closing of complex Renewable Energy investments with tax credit purchasers and tax equity investors. The PM’s primary focus will be on 6418 transfers and tax equity syndications utilizing Renewable Energy Tax Credits (RETCs). A significant portion of the PM’s job will be leading the preparation and negotiation of legal documentation. Additionally, the PM will work on the provision of due diligence deliverables, the obtainment of credit approval, and the review of financial models, ultimately driving towards the closing of investments.

Primary Responsibilities

  • Lead the closing of tax credit investments by purchasers and investors; this includes 6418 transfer transactions as well as traditional tax equity syndications.

  • Review complex legal documents pertaining to structured credit arrangements and investments; work with counsel and business partners to negotiate with purchasers and investors and manage risks on behalf of USBIF.

  • Prepare and provide diligence materials (i.e., appraisals, cost segregation reports, IE reports, etc.) requested by purchasers and investors, counsel and/or consultants in furtherance of purchaser and investor’s internal and external approval processes; reviews, analyzes and responds to questions or requests regarding the investment structure, underlying projects and/or USBIF.

  • Engage and manage third party professionals including attorneys, accountants and consultants.

  • Prepare, review, analyze and negotiate financial models and address investor questions and requests.

  • Prepare, submit and obtain internal investment approvals.

  • Successfully transition closed investments to Syndication Project Management Associates and Fund Managers for ongoing management and customer relations.

  • Coordinate with internal and external USBIF departments to facilitate underwriting and closing of project-level loans and investments.

  • Close transactions in accordance with bank policies while managing customer expectations and timelines.

  • Participate in special projects, including the development and revision of internal policies and procedures.

  • Actively ensure compliance with the U.S. Bank Code of Ethics and all Anti‐Money Laundering, Bank Secrecy Act, and information security policies and procedures. Follow account opening procedures and internal suspicious activity referral requirements and processes.

Basic Qualifications

  • Bachelor's degree and six or more years of experience or MBA/JD with three or more years of directly related experience

Preferred Skills/Experience

  • Experience within the Renewable Energy industry.

  • Understanding of tax credit investment programs and structures, along with knowledge of regulatory and company risk policies.

  • Experience with reviewing and negotiating legal documents.

  • Knowledge of or experience with financial modeling techniques.

  • Ability to drive components of projects.

  • Knowledge of construction finance and legal documentation.

  • Ability to review and synthesize a large quantity of deal related documentation and materials, including third party reports, loan/investment documents, and other legal documents. Able to identify key issues and concerns, manage review timelines, and problem solve using creativity and innovation.

  • Excellent time management skills with the ability to effectively manage client timelines and needs. Ability to identify obstacles and manage expectations, both internally and externally.

  • Effective listener and advanced communication skills, both oral and written.

  • Highly motivated self-starter who has a good attention to detail, growth mindset, and ability to be comfortable in periods of unpredictability.

  • Ability to work independently as well as collaboratively in a team environment.

  • Demonstrated interest in promoting diversity in the workplace and a commitment to maximizing equitable access to the benefits of tax credit investments.

The salary range reflects figures based on the primary location, which is listed first. The actual range for the role may differ based on the location of the role. In addition to salary, U.S. Bank offers a comprehensive benefits package, including incentive and recognition programs, equity stock purchase 401(k) contribution and pension (all benefits are subject to eligibility requirements). Pay Range: $108,375.00 - $127,500.00 - $140,250.00
