Job DescriptionU.S. Bank is seeking an attorney to join the Law Division’s Wealth Management & Investment Services legal team to support U.S. Bank’s Investment Services businesses, primarily supporting the Global Fund Services (GFS) business, which provides services to global asset managers including fund administration, accounting, and transfer agency. This role will work with all areas of the GFS business line to provide legal advice and interpretation in a variety of areas including client contract and transfer agent support, securities regulation, licensing, and operations. Individual will also negotiate partner product contracts and support governance activities related to GFS.

Primary responsibilities include: - Preparing, reviewing, and negotiating client contracts and other legal documents or requirements with a focus on conforming to federal regulatory requirements and company policies. - Providing support for Transfer Agent activities including reviewing and advising on account processing and contested claims related to an account. - Providing corporate governance support for global entities engaged in GFS activities. - Assessing risks and providing advice concerning various issues and agreements arising within key operations of the companies and the corresponding administrative functions. - Providing training to company employees on legal requirements for conducting the GFS business. - Reviewing and coordinating activities of outside counsel within assigned areas of responsibility. - Reviewing documents and electronic discovery in response to third-party subpoenas. - Assisting with regulatory and internal reviews, exams, and audits. - Assisting with drafting and maintaining policies and procedures. - Maintaining current knowledge of applicable federal and state laws and regulations and monitoring regulatory developments to ensure organizational adaptation and compliance. - Helping team to properly prioritize our legal advisory responsibilities, and then be effective, efficient and practical in accomplishing them.

This position is expected to be located in Milwaukee, Wisconsin, or St. Paul, Minnesota, although other locations will be considered; is a hybrid position comprising both in office and remote work; and reports to the Chief Counsel for Global Fund Services.

Basic Qualifications - Law degree - Licensed by and in good standing with the appropriate state bar association or other appropriate state attorney licensing authority

Preferred Skills/Experience - Three or more years of law firm or in-house experience as a practicing lawyer - Securities regulatory experience desired - Experience with contract drafting, review and negotiation desired - Familiarity with fiduciary activities and principles helpful - Strong analytical skills - The ability to work independently - Comfort with and interest in working on a variety of legal matters - Excellent written, oral, and interpersonal communication skills - Strong commitment to client service
