Job Description
The Governance Manager’s role is to manage and support the corporate governance and company secretarial functions of U.S. Bank’s European banking operations.
Provides company secretary support for the European Chief Counsel for Elavon Financial Services Board and Committees, and other European entities. Interfaces with internal and external resources to ensure successful and timely completion in accordance with user needs.
Main Responsabilities:
Act for EFS Board Sub-Committees, operational committees and U.S. Bank European entities as required involving framework development, diarizing meetings, agenda setting, meeting pack preparation, minute taking and reporting;
Review and assist in the implementation and rollout of U.S. Bank internal policies and procedures throughout Europe;
Promote U.S. Bank Governance Manual compliance by other company secretaries.
Direct and oversee outside company secretarial providers throughout Europe;
Arranging timely preparation and filing of company secretarial documents at government registries in Europe for statutory returns and ad hoc matters;
Provide internal education and develop awareness in the area of governance and company secretarial services throughout the European organisation;
Provide reporting information to regulators and internal stakeholders on entities and committees within the European operations.
Basic Qualifications or Experience
Qualified company secretary, or equivalent work experience as a governance manager
Proficient in Diligent Meeting software, Microsoft word, excel and PowerPoint.
Comprehensive knowledge of governance and company secretarial, and minute taking
Preferred Skills/Experience
Demonstrated management and leadership skills
Strong organizational and analytical skills
Advanced knowledge of project management
Excellent verbal and written communication skills
Strong attention to detail and ability to be a team player
