Job DescriptionThe U.S. Bank Law Division is seeking an experienced brokerage, investment advisory and/or investment funds attorney to support and manage the provision of legal advice to U.S. Bank’s fund and brokerage businesses, which are delivered through multiple U.S. and foreign financial companies. This position oversees a team of lawyers and paralegals who support retail brokerage, fund services administration, bank custody, a proprietary fund complex, and other investment-related services. Attorneys advising these businesses provide a variety of legal advice and services including interpretation of applicable laws and regulations; drafting and negotiating of client and vendor documents; and advising management concerning client matters, new products, implementation of regulations, acquisitions and other business activities. The position is also responsible for certain corporate governance functions of the non-bank entities this team supports. The attorney team represents expertise in the areas of SEC regulation; FINRA Rules; the Investment Company Act of 1940; European Directives for UCITS and alternative funds; the Investment Adviser Act of 1940; Federal banking law/regulations; and state laws covering securities and insurance products.
Minimum Qualifications J.D. Bar admittance in a U.S. state 10-15 years of experience with investment funds, registered investment adviser, and/or brokerage law and regulations Skills Excellent verbal and written skills; ability to communicate complex legal concepts in layman terms with both internal clients and external customers People management skills Experience advising a financial institution helpful Broker-dealer experience preferred
