Job DescriptionThe Audit Director supports the Chief Audit Executive, in providing the Audit Committee and Senior Management with independent assurance and advisory services designed to evaluate and improve the effectiveness of risk management, control, and governance processes of U.S. Bancorp (USB), affiliates, wholly owned subsidiaries and entities where USB owns a majority (controlling) interest. The Audit Director is responsible for providing strategic direction, leadership and coordination of the Technology and Operations Services risk-based audit plan. The Technology and Operations Services risk-based audit plan includes highly complex, technical and cross-function risks and operational areas that such as, but are not limited to: Cyber Security; Banking Operations such as Wire, ACH, SWIFT, Lockbox, Cash Vault, Deposit Processing and Fraud Detection, and Foreign Exchange backroom operations; Distributed Technology; Identity and Access Management; Business Continuity and Disaster Recovery Planning; Information Technology Governance; Information Technology Risk Management at both 1st and 2nd Lines of Defense; Application Development; Computer Operations; Physical Security to Data Centers; Technology Change Control; Database Administration; and support for application audit coverage through integrated audits. Responsibilities Assess the Company’s risk and control environments within the auditable entities, determine appropriate audit cycles, maintain an effective Continuous Monitoring Program, monitor industry trends for emerging risks, and make necessary adjustments to the audit plan. Develop and deepen relationships with key internal and external stakeholders that include, but are not limited to: executive and senior management up to and including the vice chairman of assigned areas; internal control partners; regulatory agencies; external auditors; external subject matter experts; and industry peers. Lead a team of approximately 40 audit professionals and is expected to recruit, hire and develop assigned personnel in accordance with U.S. Bank Human Resources Policies and Corporate Audit Services (CAS) Policies, Standards and Guidelines to achieve the plan completion.

Annual Audit Plan - Providing strategic direction and leadership in developing and driving the execution and coordination of the risk-based Annual Audit Plan across all U.S. Bancorp and subsidiaries by drawing upon both business line process knowledge in Technology and Operations.

Continuous Monitoring - Maintaining an effective Continuous Monitoring Program which monitors key risks within Auditable Entities across multiple business lines and identifies any key emerging/evolving risks by routinely interfacing with independent peer banks on regulatory trends. Also includes monitoring adequacy of CAS resources and adjusting the Audit Plan when appropriate and communicating key results of Continuous Monitoring to applicable members across CAS.

Reporting/Issues Management – Overseeing board, committee and other stakeholder reporting for completeness, consistency with other internal audit material and accuracy of the most up-to-date information. Overseeing ongoing progress and remediation by management for all outstanding technology and operations issues across the entire enterprise and supporting other Audit Directors.

Communication with Key Stakeholders - Interacting regularly with executive management, including managing committee members across U.S. Bancorp, multiple Sr. Operating and Board Committees, and multiple regulators, primarily the OCC and FRB, and other.

Other - Participating, networking, and leadership within industry peer groups and performing other duties as requested by the Chief Audit Executive or Senior Audit Director.

Qualifications/Experience Bachelor’s degree (preferably in Accounting, Finance, Management Information Systems). Twelve or more years of progressive experience in internal auditing, public accounting, or other relevant experience. Five or more years of managerial experience. CIA, CPA, CISA or other relevant professional designation.

Preferred Skills/Experience Fifteen or more years of progressive experience in internal auditing, public accounting, regulatory, or other relevant experience. Proven leadership skills. Expert level of verbal and written communication, relationship building and negotiation skills. Expert skill in managing challenging situations. Ability to manage multiple tasks and deadlines simultaneously. Expert understanding of Institute of Internal Auditors’ Standards and the common definition of internal controls. Expert understanding of the business line’s operations, products/services, systems and associated risks/controls. Overall understanding of IT and Operations Risk Management and other multiple risk disciplines. Relevant Financial Service Industry and Technical knowledge (e.g., Lending, Banking Operations, Trust, Information Security, Disaster Recovery Planning, etc.), including understanding of risk theory, control frameworks, applicable financial services industry trends, laws and regulations; and impact of government legislation and regulation on business.
